1. Service & license

MAIA Analytics, Inc. ("MAIA," "we," "us") grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

2. Accounts & registration

• You must provide accurate and complete information when creating an account and keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be 16 years or older to use the Service.
• If you believe your account has been compromised, notify us at support@maia-analytics.com immediately.

3. Acceptable use

You agree not to use the Service:

• For any unlawful purpose or in violation of any applicable laws.
• To transmit spam, malware, or harmful code.
• To impersonate another person or misrepresent your affiliation.
• To interfere with or disrupt the Service, including by overloading servers or attempting unauthorized access.
• To reverse engineer, scrape, or data-mine the Service without permission.

MAIA may suspend or terminate accounts that violate these Terms.

4. User content & data license

The Service may allow you to upload, submit, or generate content ("User Content").

• You retain ownership of your User Content.
• By submitting User Content, you grant MAIA a non-exclusive, worldwide, royalty-free license to use, store, process, and display it to operate and improve the Service, including training and enhancing MAIA's AI models.
• At this time, users cannot opt out of data being used for AI model training. Enterprise customers may negotiate separate terms.

5. Intellectual property

• Except for User Content, all rights, title, and interest in the Service (including software, interfaces, and branding) are owned by MAIA or its licensors.
• You may not copy, modify, distribute, or create derivative works without MAIA's written consent.

6. Subscriptions & payments

• MAIA is a paid service. Subscription fees, billing, and refund terms will be disclosed at the time of purchase.
• Payments are processed by third-party providers (e.g., Stripe). By subscribing, you authorize MAIA (and its processors) to charge your chosen payment method.
• Subscriptions renew automatically unless canceled in accordance with instructions provided at purchase.

7. Third-party services

MAIA uses third-party providers (e.g., Google Cloud, Stripe, OpenAI, logging and monitoring tools) to deliver the Service. Your use of those services may be subject to their own terms. See our Privacy Policy for more.

8. Termination

• You may cancel your account at any time.
• MAIA may suspend or terminate your access if you violate these Terms or if we discontinue the Service.
• Upon termination, your right to use the Service ceases immediately.

9. Disclaimer of warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. MAIA disclaims all warranties, including fitness for a particular purpose, merchantability, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law:

• MAIA and its affiliates will not be liable for indirect, incidental, special, or consequential damages.
• Our aggregate liability for direct damages will not exceed the greater of (a) fees paid by you in the last 12 months, or (b) $100.

11. Indemnification

You agree to indemnify and hold harmless MAIA, its officers, employees, and affiliates from claims arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

12. Governing law & dispute resolution

• These Terms are governed by the laws of Delaware, USA, without regard to conflict of laws principles.
• Any disputes will be resolved in the state or federal courts located in Delaware, unless otherwise agreed.
• Arbitration may be added in the future and, if so, these Terms will be updated accordingly.

13. Changes to terms

MAIA may update these Terms from time to time. Updates will be posted on this page with a revised effective date. Continued use of the Service after changes become effective constitutes acceptance.

14. Publicity

We may display your company name and logo to identify you as a MAIA customer. You may opt out at any time by contacting support@maia-analytics.com.
